Returning Capital

As part of its long-term strategy, Nomad is firmly committed to returning capital to shareholders through a regular dividend in order to generate lasting, reliable and consistent returns for its shareholders. Paying a sustainable dividend is a core strategic objective for Nomad Royalty Company.

On August 26, 2020 Nomad unveiled its dividend policy and declared its inaugural quarterly dividend.

The Board of Directors adopted an annual dividend policy for the Company of C$0.02 per share, payable quarterly.

The first quarterly dividend of C$0.005 per common share was payable on October 15, 2020 to Nomad shareholders of record as of the close of business on September 30, 2020.

Post the share consolidation which was approved on May 10th, 2021, the dividend is now C$0.20 annually, payable quarterly at a rate of C$0.05.

For shareholders residing in the United States, the dividend is be paid in U.S. dollars based on the daily exchange rate published by the Bank of Canada at quarter end. The dividend has been designated by Nomad as an “eligible dividend” under the Income Tax Act (Canada).

Dividend Reinvestment Plan

Dividend Reinvestment Plan

All shareholders considering enrollment in the DRIP should carefully review the terms of the DRIP and consult with their advisors as to the implications of enrollment in the DRIP.

Participation in the DRIP is optional. Participants in the DRIP may obtain additional Common Shares of the Company by automatically reinvesting all or any portion of the cash dividends paid on Common Shares held by the Plan participant without paying any brokerage commissions, administrative costs or other service charges. In respect of Treasury Acquisitions under the Plan, the Company can issue the common shares at a discount of up to 3% of the Average Market Price, as defined in the DRIP. The Company may, from time to time, in its discretion, change or eliminate the discount applicable to Treasury Acquisitions or direct that such common shares be purchased in Market Acquisitions at the prevailing market price, any of which would be publicly announced. Registered Shareholders

Registered shareholders hold Nomad Royalty Company Common Shares in their own name. Registered shareholders can enroll in the DRIP by completing the enrollment form (see link below).

 

Non-Registered Beneficial Shareholders

Beneficial shareholders do not hold Nomad Royalty Company Common Shares in their own name but instead hold their Common Shares through a nominee such as a financial institution, broker or other nominee who holds the Common Shares for the beneficial shareholder. Beneficial shareholders should contact their nominee to enroll in the DRIP.

 

United States Shareholders

U.S. shareholders should refer to Nomad Royalty Company’s Form F-3 filed on November 9, 2021 with the US Securities and Exchange Commission, which may be obtained under Nomad Royalty Company’s profile at http://www.sec.gov.
